DH Partners Limited (DHPL) ke Board of Directors ne 15 December 2025 ko hone wali meeting me DHPL aur Cyan Limited ko Dawood Lawrencepur Limited (DLL) ke sath merge (amalgamate) karne ki manzoori de di.
Scheme ke mutabiq, Dawood Lawrencepur Limited surviving company hogi jab ke DHPL (DLL ke ilawa) aur Cyan ke shareholders ko consideration ke taur par DLL ke naye shares issue kiye jayenge. Share swap ratios yeh honge:
- DHPL ke har 100 ordinary shares ke badlay 4.7724 shares of DLL
- Cyan ke har 100 ordinary shares ke badlay 7.2974 shares of DLL
Company ke mutabiq, yeh swap ratios DHPL, Cyan aur DLL ke 31 October 2025 ko khatam hone wale period ki audited special purpose financial statements, external independent valuers ki janib se immovable properties ki valuation, aur independent financial advisor ki calculations ki bunyaad par tay kiye gaye hain.
Proposed amalgamation ka maqsad milti julti business activities rakhne wali companies ko ek single listed platform par consolidate karna hai. Is se unified strategic direction aur operational structure milega, jab ke surviving entity ka balance sheet mazid strong hoga, equity base aur assets diversify honge aur borrowing capacity ke sath financial resilience me bhi behtari aane ki tawaqqo hai.
